📜 VENDOR AGREEMENT

1. Introduction
This Vendor Agreement (“Agreement”) is entered into between:
Digital Alchemy Group, LLC, operating as RevenuePartners.ai (“Company,” “we,” “us,” or “our”),
and
You (“Vendor,” “Client,” or “you”)
By purchasing or using our services, you agree to be bound by this Agreement in addition to our Terms of Service and Privacy Policy.

2. Scope of Services
RevenuePartners.ai provides infrastructure and services to support the creation and operation of affiliate and partner programs, including:
- Affiliate tracking and attribution systems
- Partner management tools
- Campaign setup and activation support
- Performance analytics and reporting
- Integration with payment processors and APIs
We may also provide strategic and onboarding assistance where applicable.
3. Fees & Payment Terms
A. Setup Fee
Vendor agrees to pay a one-time setup fee as agreed upon prior to onboarding.
- This fee covers infrastructure setup, configuration, and initial campaign activation
- Setup fees are non-refundable
B. Monthly Platform Fee
Vendor agrees to pay a recurring monthly fee for continued access to the platform and services.
- Billing cycles and pricing will be defined during onboarding
- Failure to pay may result in suspension or termination of services
C. Performance Fee
Vendor agrees to pay a performance-based fee calculated as a percentage of revenue generated through tracked affiliate or partner activity.
- This fee ranges from 5% of monthly partner-driven revenue, unless otherwise agreed
- The fee applies only to transactions that are properly tracked and attributed through the platform
- RevenuePartners.ai determines attribution based on platform tracking data
D. Payment Processing
Payments may be processed via Stripe, bank transfer, or other approved methods.
Vendor is responsible for:
- Ensuring valid payment methods
- Any transaction or processing fees
4. Affiliate Commissions & Payout Responsibility
Vendor is solely responsible for:
- Defining commission structures
- Funding and paying affiliate commissions
- Managing payout obligations to affiliates
RevenuePartners.ai:
- Does not guarantee affiliate performance
- Is not responsible for unpaid commissions
- Does not assume liability for affiliate disputes
5. Vendor Responsibilities
Vendor agrees to:
- Provide accurate and complete information
- Maintain lawful business practices
- Ensure compliance with all applicable laws
- Honor commitments made to affiliates
- Avoid misleading or deceptive marketing
Vendor is solely responsible for:
- Their product, service, and customer experience
- Refunds, chargebacks, and customer disputes
6. Affiliate Program Management
Vendor retains control over:
- Commission rates
- Partner approvals
- Program rules
RevenuePartners.ai may:
- Provide recommendations
- Assist with setup and optimization
But does not guarantee:
- Revenue results
- Affiliate recruitment success
- Conversion rates
7. Fraud, Abuse & Compliance
RevenuePartners.ai reserves the right to:
- Monitor affiliate activity
- Flag suspicious behavior
- Suspend or remove affiliates
Vendor acknowledges that:
- Fraud prevention is a shared responsibility
- Not all fraudulent activity can be prevented
RevenuePartners.ai is not liable for losses resulting from fraudulent affiliate activity.
8. Data & Platform Use
Vendor acknowledges that:
- The platform collects and processes affiliate tracking data
- Data may include clicks, conversions, and attribution
Vendor agrees to use this data responsibly and in compliance with applicable laws.
9. Intellectual Property
Vendor retains ownership of:
- Their brand
- Their product
- Their marketing materials
RevenuePartners.ai retains ownership of:
- The platform
- Software and infrastructure
- Proprietary systems and processes
10. No Guarantee of Results
Vendor acknowledges that:
- RevenuePartners.ai provides tools and support
- Results depend on many external factors
We make no guarantees regarding:
- Revenue generated
- Affiliate participation
- Program success
11. Term & Termination
A. Term
This Agreement begins upon purchase or onboarding and continues until terminated.
B. Termination by Vendor
Vendor may cancel services at any time, subject to:
- Payment of any outstanding fees
- No refunds for prior payments
C. Termination by Company
We may suspend or terminate services if:
- Vendor violates this Agreement
- Payments are missed
- Fraudulent or unlawful activity is detected
12. Refund Policy
- Setup fees are non-refundable
- Monthly fees are non-refundable once billed
- Performance fees are tied to actual commissions and are non-refundable
13. Limitation of Liability
To the fullest extent permitted by law:
RevenuePartners.ai and Digital Alchemy Group, LLC shall not be liable for:
- Loss of revenue or profits
- Affiliate performance issues
- Business interruptions
- Data loss
Total liability shall not exceed the amount paid by Vendor in the 3 months preceding the claim.
14. Indemnification
Vendor agrees to indemnify and hold harmless RevenuePartners.ai from any claims arising from:
- Vendor’s business practices
- Vendor’s products or services
- Vendor’s affiliate program
- Violations of laws or regulations
15. Independent Relationship
RevenuePartners.ai and Vendor are independent parties.
This Agreement does not create:
- A partnership
- Joint venture
- Agency relationship
16. Governing Law
This Agreement is governed by the laws of:
Santa Fe County, New Mexico, United States
17. Modifications
We may update this Agreement at any time.
Continued use of the Services constitutes acceptance of any changes.
